Terms of Service — OpinStar Webshop

These Terms of Service ("Terms") govern all purchases made through the OpinStar Webshop at shop.opinstar.com. By placing an order, you agree to these Terms.
The OPINSTAR Webshop is operated by:

US operations for customers in the United States are billed through OPINSTAR LLC (Delaware, USA).

The OpinStar Webshop sells exclusively to businesses, self-employed professionals, sole proprietors, and other commercial buyers acting in the course of their trade, business, craft or profession ("Business Customers"). By placing an order, you represent and warrant that:
· you are purchasing in a commercial capacity for business use, and
· you are legally authorized to bind the business you represent.
Sales to consumers are excluded. If you are ordering as a private consumer, please do not place an order. Statutory consumer-protection rules, such as the EU/EEA 14-day right of withdrawal under Directive 2011/83/EU or comparable rules in other jurisdictions, do not apply to purchases in this shop.
The Webshop sells physical hardware (e.g. the Smart Review Display) and related accessories. Product descriptions, images and prices are shown on each product page and may change at any time. Prices are quoted excluding VAT for the Switzerland market; Swiss VAT (8.1%) is added at checkout. Prices for the United States and Canada are quoted in USD and CAD respectively, exclusive of local sales tax and import duties.
A binding sales contract is concluded once we send you an order confirmation by email. We reserve the right to refuse orders in case of pricing errors, out-of-stock items, or suspected fraud, in which case we will fully refund any payment received. Orders cannot be canceled once the shipment has been handed over to the carrier.
Payments are processed through Stripe. Accepted payment methods are shown at checkout. Payment is due immediately at order placement.
Delivery terms, regions and shipping fees are described in our Shipping Policy. Risk of loss passes to the buyer upon handover of the goods to the carrier.
7. All sales are final — no returns for change of mind
Because all sales are business-to-business (see section 2), all sales are final. We do not accept returns, refunds or exchanges for change of mind, no longer needed, ordered by mistake, or similar reasons, in any country we ship to, including Switzerland, the European Union, the European Economic Area, the United States and Canada.
Exceptions apply only to (a) products that are dead on arrival, (b) products shipped in error by us, and (c) manufacturing defects covered by the hardware warranty. The exact process is described in our Refund Policy.
Hardware products carry a 24-month warranty covering defects in materials and workmanship under normal commercial use, starting on the day of delivery. The warranty is limited to free repair or replacement of the defective unit, at our sole discretion, and does not cover:
· damage from misuse, drops, water, power surges, or unauthorized modification;
· normal wear and tear;
· consumables and accessories;
· indirect, consequential, or business-interruption damages.
To the maximum extent permitted by applicable law, our total liability for any claim arising from a purchase in the Webshop is limited to the amount paid by the buyer for the product concerned in the twelve (12) months preceding the claim. We exclude any liability for indirect, incidental, consequential, special or punitive damages, and for loss of profits, revenue, data, or business opportunity, regardless of the legal basis of the claim.
This limitation does not exclude liability for intent, gross negligence, or personal injury where such exclusion is not permitted by mandatory applicable law.
Personal data collected during your order is processed in accordance with our Privacy Policy.
11. Governing law and jurisdiction
These Terms and all sales are governed by Swiss law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Exclusive place of jurisdiction is Zurich, Switzerland. Because all buyers are business customers, mandatory consumer-protection law of a buyer's home country does not apply.
We may amend these Terms at any time. The version in force at the time of your order applies to that order.
